Membership & Access Agreement

1. Parties
This Membership and Access Agreement ("Agreement") is between Elitecity Complex ("Elite City," "we," "us," or "our"), located at 990 N Hill St, Los Angeles CA 90012, and the individual or entity completing membership enrollment ("Member," "you," or "your").
By completing checkout, clicking "I Agree," or accessing Elite City facilities or services, you agree to be bound by this Agreement in full.
2. Membership Type & Benefits
Your membership type, included benefits, pricing, and billing frequency are set at the time of enrollment and confirmed in your membership confirmation email. Benefits are subject to posted hours, staffing, bookings, private events, holidays, maintenance, and package limits.
Unused credits, room hours, passes, guest passes, and discounts do not roll over unless expressly stated in writing. Benefits are non-transferable and may not be resold, assigned, shared, or used by another person without written approval from Elite City.
Elite City reserves the right to modify, limit, or discontinue any benefit with reasonable notice, subject to Section 20 (Changes to Terms & Benefits).
3. California Auto-Renewal Notice
IMPORTANT — CALIFORNIA AUTO-RENEWAL DISCLOSURE (Cal. Bus. & Prof. Code § 17600 et seq.):
If you select a recurring membership (monthly or quarterly), your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the next renewal date. Your payment method on file will be charged automatically at the frequency shown at checkout.
You may cancel at any time before the next renewal date to stop future charges. Cancellation stops future recurring charges and does not automatically refund the current paid period, except as provided in Section 4 (Cancellation Terms). To cancel, visit elitecitycomplex.com/membership-cancel or email [email protected].
If the recurring charge amount increases, Elite City will provide advance notice of the new price and effective date, and you will have the opportunity to cancel before the new price takes effect.
4. Cancellation Terms
Recurring Memberships (Monthly or Quarterly): You may cancel at any time before the next renewal date to stop future billing. Your current access continues through the end of the paid period unless your account is suspended or terminated for cause. The current billing period is not automatically refunded after cancellation, except as provided below.
3-Day Full Refund Guarantee: Cancellations submitted within 3 days of your membership start date are eligible for a full refund, processed to your original payment method within 5–7 business days. After 3 days, the current billing period is not automatically refunded.
Quarterly Prepaid Billing: Quarterly prepaid memberships may be canceled for non-renewal before the next quarter begins. Prepaid quarters are not automatically refundable after the quarter starts.
Day Passes and Week Passes: Day and week passes are non-refundable once purchased. A pass may be rescheduled once with at least 24 hours' notice, subject to availability. No-shows and same-day cancellations are not refundable. Unused pass days or hours expire at the end of the pass term.
How to Cancel: Cancellation must be submitted online at elitecitycomplex.com/membership-cancel or by emailing [email protected]. Verbal cancellations are not accepted.
5. Access Hours & After-Hours
Access to Elite City facilities is subject to posted business hours, staffing availability, scheduled bookings, private events, holidays, maintenance, and the limits of your membership package.
After-Hours Access: After-hours access is a privilege, not a guaranteed membership benefit. It is available only with prior written approval from Elite City, an active membership in good standing, verified identity, a required payment method on file, and compliance with all after-hours procedures.
Elite City may deny, limit, suspend, or revoke after-hours access at any time for safety, operational, legal, staffing, insurance, or policy reasons. No guests, events, filming, wellness services, food service, alcohol, vendors, or client appointments are permitted after hours unless specifically approved in writing.
6. Guest Policy
Guest passes are included with select membership tiers as specified at enrollment. Guest passes are non-transferable and may not be resold. Guests must be accompanied by the member at all times and must comply with all facility policies.
Members are responsible for the conduct of their guests. Elite City reserves the right to deny entry to any guest or revoke guest privileges for policy violations.
7. Code of Ethics
All members and guests are expected to conduct themselves professionally and respectfully at all times. The following are strictly prohibited:
- Threats, violence, harassment, or discrimination of any kind
- Theft, vandalism, or damage to property
- Illegal activity of any kind on the premises
- Unauthorized after-hours access
- Unapproved alcohol or drug activity
- Weapons of any kind
- Fraud, misrepresentation, or unauthorized use of another member's credentials
- Repeated nonpayment or chargebacks
Violations may result in immediate suspension or termination of membership without refund. See Section 18 (Violations & Enforcement) for the full enforcement framework.
8. General Facility Policies
- Members must check in upon arrival and comply with all posted signage and staff instructions.
- Food and beverages are permitted only in designated areas.
- Noise levels must be kept at a level appropriate for a shared professional environment.
- Members are responsible for cleaning up after themselves and resetting rooms to their original condition after use.
- Smoking, vaping, and cannabis use are prohibited on the premises.
- Pets are not permitted unless expressly approved by Elite City management.
- Parking is subject to availability and posted rules. Elite City is not responsible for vehicles or their contents.
- Elite City is not responsible for lost, stolen, or damaged personal property.
9. Space-Specific Policies
Each bookable space (studios, conference rooms, podcast rooms, wellness rooms, event halls, etc.) is subject to additional posted rules specific to that space. Members must review and comply with all space-specific policies at the time of booking.
Room bookings are subject to availability and must be made through the Elite City booking system. Included room hours under a membership package must be reserved in advance and used within the applicable billing period. Unused included hours expire at the end of each billing period and do not roll over.
10. Booking, Credits & No-Shows
Room bookings may be canceled or rescheduled subject to the cancellation window posted at the time of booking. Late cancellations and no-shows may result in forfeiture of the booked credit or hour, at Elite City's discretion.
Included membership credits (room hours, workspace days, guest passes) are non-transferable, may not be resold, and expire at the end of each billing period unless expressly stated otherwise in writing. Credits have no cash value.
11. Payment, Fees & Chargebacks
All fees are due at the time of purchase or renewal. Recurring memberships are charged automatically to the payment method on file at the billing frequency selected at enrollment.
If a payment fails, Elite City may suspend access until the outstanding balance is resolved. Members are responsible for keeping their payment method current.
Chargebacks filed against valid Elite City charges may result in immediate suspension or termination of membership and may be referred to collections. Elite City reserves the right to charge a chargeback processing fee.
12. Damage, Cleaning & Equipment
Members are responsible for any damage to Elite City property, equipment, or facilities caused by themselves or their guests. Damage will be assessed and billed to the member's payment method on file.
Members must leave all spaces in the same condition as found, including resetting furniture, removing personal items, and disposing of trash. Failure to do so may result in a cleaning fee.
Elite City equipment may be used only for its intended purpose. Unauthorized removal of equipment from the premises is prohibited and may result in immediate termination and legal action.
13. Privacy, Security & Recording
Elite City facilities are monitored by security cameras for safety and security purposes. By accessing the facility, you consent to being recorded in common areas.
Members may not record other members, guests, or staff without their express consent. Recording in private rooms (conference rooms, wellness rooms, etc.) is subject to the consent of all parties present.
Elite City collects and uses member information in accordance with its Privacy Policy, available at elitecitycomplex.com/privacy.
14. Intellectual Property & Marketing
Members retain ownership of all original content created in Elite City spaces. Elite City does not claim ownership of member-created content.
By using Elite City facilities, members grant Elite City a limited, non-exclusive license to use photographs or videos taken by Elite City staff in common areas for marketing and promotional purposes, unless the member opts out in writing.
Members may not use the Elite City name, logo, or brand in any marketing, social media, or promotional material without prior written approval.
15. Insurance, Licenses & Compliance
Members who conduct business activities at Elite City (including but not limited to wellness services, photography, production, coaching, or consulting) are responsible for maintaining all required licenses, permits, and insurance for their activities.
Elite City may require proof of insurance or licensure as a condition of access for certain activities. Members are solely responsible for compliance with all applicable laws and regulations related to their business activities.
16. Assumption of Risk & Release
Member acknowledges that use of Elite City facilities involves inherent risks, including but not limited to physical injury, property damage, and equipment malfunction. Member voluntarily assumes all such risks.
To the fullest extent permitted by California law, Member releases Elite City, its owners, officers, employees, and agents from any and all claims, damages, losses, and liabilities arising from Member's use of the facilities, except for claims arising from Elite City's gross negligence or willful misconduct.
17. Indemnification
Member agrees to indemnify, defend, and hold harmless Elite City, its owners, officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Member's use of the facilities; (b) Member's breach of this Agreement; (c) the conduct of Member's guests; or (d) Member's business activities conducted at Elite City.
18. Violations & Enforcement
Elite City may take the following actions in response to policy violations, at its sole discretion:
Minor violations (late cleanup, noise issues, failure to reset room, guest check-in issues):
- Verbal or written reminder
- Written warning
- Cleaning or reset fee
Serious violations (threats, violence, harassment, discrimination, theft, vandalism, illegal activity, unauthorized after-hours access, fraud, weapons, major damage, repeated nonpayment):
- Immediate suspension or termination of membership
- Removal from premises
- Forfeiture of any prepaid fees
- Referral to law enforcement when appropriate
- Civil legal action
Elite City's determination of a violation and the appropriate response is final. Members may submit a written appeal within 10 days of receiving notice of enforcement action.
19. Fair Treatment & Complaints
Elite City is committed to providing a welcoming, inclusive environment for all members. We do not discriminate on the basis of race, color, religion, sex, national origin, age, disability, sexual orientation, gender identity, or any other characteristic protected by applicable law.
Members who experience or witness discrimination, harassment, or other policy violations may submit a written complaint to [email protected]. Elite City will investigate all complaints promptly and in good faith.
20. Changes to Terms & Benefits
Elite City reserves the right to modify this Agreement, membership benefits, pricing, and facility policies at any time. For recurring memberships, material changes (including price increases) will be communicated with at least 30 days' advance notice via email to the address on file.
Continued use of Elite City facilities or services after the effective date of any change constitutes acceptance of the updated terms. If you do not agree to a material change, you may cancel your membership before the effective date without penalty.
21. Suspension & Termination
Elite City may suspend or terminate a membership at any time for cause, including but not limited to violation of this Agreement, nonpayment, or conduct that poses a risk to the safety or well-being of other members, guests, or staff.
Termination for cause does not entitle the member to a refund of any prepaid fees. Elite City will provide written notice of termination where practicable, except in cases requiring immediate removal for safety reasons.
Members may voluntarily terminate their membership at any time in accordance with Section 4 (Cancellation Terms).
22. Dispute Resolution & Governing Law
This Agreement is governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under this Agreement shall first be submitted to good-faith negotiation between the parties.
If negotiation fails, disputes shall be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction. The prevailing party in any arbitration or legal proceeding shall be entitled to recover reasonable attorneys' fees and costs.
Nothing in this section limits a Member's right to file a complaint with the California Attorney General or other applicable regulatory authority.
23. Entire Agreement
This Agreement, together with any membership confirmation email, space-specific policies, and any written addenda (including any After-Hours Access Addendum), constitutes the entire agreement between the parties with respect to membership and access at Elite City Complex. It supersedes all prior oral or written representations, understandings, or agreements.
If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
24. Member Acceptance
By completing checkout, clicking "I Agree," or accessing Elite City facilities, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.
